Per-deal revenue split
Each deal carries its own negotiated split, paid in ETH or USDC to a wallet you choose.
Persists on transfer
The license attaches to the NFT, not your wallet. If you sell, the new owner can revoke at any time.

MyPudgyFriends NFT Licensing Terms — v1 (DRAFT)
This is a community-operated licensing program. By submitting your token, you
authorize MyPudgyFriends ("MPF") to commercialize the artwork associated with
your Pudgy Penguins or Lil Pudgys NFT under the terms below.
1. THE GRANT
You grant MPF a non-exclusive, worldwide, sublicensable license to use,
reproduce, display, distribute, modify, and create derivative works based on
the artwork associated with the NFT identified at submission (the "Licensed
Asset"), for the categories listed in Section 3. This license is operated on
behalf of the token, not your wallet — see Section 5.
2. TERM
The license runs for 12 months from MPF's approval, and auto-renews in 12-month
periods. Either party may give 30 days' written notice (form on
/license/revoke or email) to terminate at the end of the current term.
3. PERMITTED USES
- Apparel and physical merch
- Brand campaigns and advertising
- IRL events, signage, and appearances
- Digital content and media (video, animation, podcast art, etc.)
MPF will not knowingly use the Licensed Asset in a manner that disparages
Pudgy Penguins, Lil Pudgys, or Igloo Inc, or that violates Pudgy Penguins'
own community guidelines.
4. REVENUE
Revenue shares are negotiated on a per-deal basis between MPF and you, in
writing, before any deal closes. Payments are sent to the payout wallet you
provided at submission, in ETH or USDC, within 30 days of MPF receiving the
corresponding revenue. You are responsible for any taxes on amounts received.
5. TOKEN TRANSFER
This license is attached to the NFT (its contract address + token ID), not to
your wallet. If you transfer the NFT, the license remains attached to the
token. The new owner may revoke at any time by signing a revocation message
at /license/revoke. You acknowledge this and represent that you have the
authority to bind future owners to this clause to the extent permitted under
your rights as a holder.
6. YOUR REPRESENTATIONS
- You are the current owner of the Licensed Asset at the time of submission.
- You have the right to grant this license under Pudgy Penguins'/Igloo Inc's
terms applicable to holders.
- The contact info you provided is accurate.
7. NO PARTNERSHIP / NO WARRANTY
This is a licensing arrangement, not a partnership, agency, or employment
relationship. MPF makes no guarantees of deal volume, revenue, brand
exposure, or specific uses. Either party may terminate per Section 2.
8. INDEMNIFICATION
You indemnify MPF for any claims arising from your representations being
materially inaccurate, including but not limited to disputes about NFT
ownership at the time of submission.
9. LIMITATION OF LIABILITY
MPF's aggregate liability under this license is capped at the cumulative
revenue MPF has actually paid to you under this license.
